Notice of Special Meeting - Sept. 22/09

Dear Parent and Alumni Members,
Notice of Special Meeting
The Annual General Meeting (AGM) of the Peoples Christian Academy Inc. (PCA) called on June 9, 2009 was adjourned because the number of Parent Members present did not meet quorum. As such, the business matters that need to be conducted at the AGM were put on hold.
For the purpose of rendering the PCA governance more effective, the Board has made a resolution to amend the By-Laws to reduce the quorum for Parent Members from 55% to 30% based on the response of the June 2009 AGM. This amendment has to be approved at a members’ meeting.
Notice is hereby given to a Special Meeting of PCA to be held on September 22, 2009 (Tuesday), at 6:30 p.m., at 374 Sheppard Avenue East, Toronto, Ontario. This meeting will be held at the Information Night for the parents’ convenience.
In order to raise funds to finance the relocation of PCA, the Board will issue PCA Promissory Note. To this end, the Board has made a resolution to amend the By-Laws to allow the Directors to borrow money on behalf of PCA and to appoint an auditor to audit the financial statements for the fiscal year ending August 31, 2009. These Board resolutions will also be approved at the Special Meeting.
Proxy forms for approving the foregoing resolutions and a draft of the amended By-Laws will be sent out on September 9, 2009.
The agenda of the Special Meeting is as follows:
1. Approval of amendments to By-Laws.
2. Confirmation of auditor.
